BeatUnity Terms and Conditions

Welcome to BeatUnity. Please read these Terms and Conditions carefully before using the BeatUnity platform, website, applications, services and related functionalities (collectively referred to as the "Platform"). These Terms and Conditions constitute a legally binding agreement between XYO, operating under the trade name BeatUnity, and any person or entity accessing or using the Platform. By accessing, registering for or using the Platform, the User acknowledges having read, understood and accepted these Terms and Conditions.
1. Definitions
1.1 The Company
The Company means XYO, operating under the trade name BeatUnity, registered under company number 0748.753.094, with registered office at Heidebloemstraat 10, 3500 Hasselt, Belgium, and contact email address [email protected] .
1.2 The Platform
The Platform means the BeatUnity website, applications, databases, software, communication tools, community features, profile systems, booking tools, educational features, integrations and all related services made available by the Company.
1.3 User
A User means any natural person or legal entity that accesses, visits, registers for or uses the Platform.
1.4 Artist
An Artist means any User who creates and maintains a professional profile for the purpose of promoting, showcasing or offering artistic, musical or creative services, including but not limited to DJs, producers, performers and musicians.
1.5 Organizer
An Organizer means any User who uses the Platform to discover, contact, evaluate, invite or collaborate with Artists, including but not limited to event organisers, promoters, venues, festivals, agencies, companies and private clients.
1.6 Coach
A Coach means any User offering educational, mentoring, consulting or coaching services through the Platform.
1.7 Content
Content means any information, text, images, videos, audio recordings, profile information, messages, files, links, reviews, comments or other materials uploaded, shared, transmitted or published through the Platform.
1.8 Subscription
A Subscription means any paid recurring or non recurring access plan offered by BeatUnity.
1.9 Services
Services means all functionalities, features, subscriptions, community features, communication tools, educational tools, profile features and other services provided through the Platform.
2. Scope of Application
2.1 Application
These Terms and Conditions apply to all legal relationships between the Company and the User, including but not limited to registrations, subscriptions, purchases, platform access, use of services and communications.
2.2 Acceptance
By creating an account, purchasing a subscription, accessing the Platform or using any of its Services, the User accepts these Terms and Conditions in full. If the User does not agree with these Terms and Conditions, the User must immediately cease use of the Platform.
2.3 Amendments
BeatUnity reserves the right to amend these Terms and Conditions at any time. Material amendments will be communicated through the Platform, by email or through other reasonable means. Continued use of the Platform after such amendments become effective constitutes acceptance of the updated Terms and Conditions.
2.4 Severability
If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain fully valid and enforceable.
3. Platform Position
3.1 Independent Platform
BeatUnity is an independent technology platform that facilitates networking, visibility, communication, education and opportunity discovery between Artists, Organizers, Coaches and other Users.
3.2 No Employment Agency
BeatUnity does not act as:
- an employer;
- a temporary employment agency;
- a recruitment agency;
- an employment intermediary;
- a staffing agency;
- a payroll provider.
3.3 No Employment, Management or Representation Relationship
Unless explicitly agreed otherwise in a separate written agreement, BeatUnity does not act as:
- an employer;
- a temporary employment agency;
- a recruitment agency;
- an exclusive artist manager;
- a legal representative of any User.
BeatUnity may facilitate introductions, networking opportunities, recommendations, visibility, promotional activities, booking related communications and other professional connections between Users.
Any commission, service fee or compensation charged by BeatUnity shall not be interpreted as creating an employment relationship, agency relationship, management agreement or representation agreement between BeatUnity and any User unless expressly agreed otherwise in writing.
3.4 No Guarantee of Opportunities
BeatUnity does not guarantee:
- bookings;
- performances;
- assignments;
- collaborations;
- coaching opportunities;
- employment;
- visibility;
- revenue;
- commercial success.
No subscription, membership, payment or use of the Platform creates any entitlement to opportunities or preferential treatment.
3.5 Direct Relationships
All bookings, collaborations, engagements, performances and agreements are concluded directly between the relevant parties. BeatUnity is not a party to such agreements and assumes no responsibility for their execution.
3.6 Equal Access to Opportunities
Unless explicitly stated otherwise for a specific feature, opportunities published on the Platform are not conditional upon the purchase of a Subscription. BeatUnity does not sell bookings, performances, employment, assignments or professional opportunities.
A Subscription does not increase a User's chances of being selected for an opportunity and does not grant preferential treatment in selection processes. Any selection decision remains solely at the discretion of the relevant Organizer, venue, promoter, client or other third party.
Subscriptions may provide access to additional Platform features, community benefits and premium functionalities, but do not constitute payment for access to professional opportunities.
4. User Accounts and Eligibility
4.1 Account Registration
Users may be required to create an account in order to access certain features of the Platform. Users agree to provide accurate, complete and up to date information at all times.
4.2 Account Security
Users are solely responsible for maintaining the confidentiality of their login credentials. Any activity occurring through a User account shall be deemed to have been performed by the account holder.
4.3 Minimum Age
Users must be at least eighteen (18) years of age or otherwise possess the legal capacity required under applicable law. Users under eighteen (18) may only use the Platform with the consent and supervision of a parent or legal guardian where permitted by law.
4.4 Account Suspension
BeatUnity reserves the right to restrict, suspend or terminate accounts where reasonably necessary to protect:
- the Platform;
- other Users;
- legal compliance;
- the integrity of the community;
- the reputation of BeatUnity.
5. Community Standards
5.1 Respectful Conduct
Users shall interact with one another in a respectful, professional and constructive manner.
5.2 Prohibited Behaviour
Users shall not engage in:
- harassment;
- discrimination;
- hate speech;
- threats;
- intimidation;
- bullying;
- defamatory statements;
- unlawful conduct.
5.3 Community Integrity
Users shall not repeatedly engage in conduct that negatively impacts the experience of other Users or undermines the collaborative nature of the Platform. Such conduct includes, but is not limited to:
- repeated public complaints regarding bookings or selection decisions;
- attempts to create conflict or hostility within the community;
- repeated negative commentary directed at other Users;
- behaviour that discourages participation by other Users;
- conduct that creates a disruptive or toxic environment.
Constructive feedback, respectful discussion and professional disagreement remain permitted.
5.4 Moderation
BeatUnity reserves the right to issue warnings, restrict access, suspend accounts or permanently terminate accounts where a User's conduct is reasonably deemed harmful to the Platform, its Users, its business interests or the community environment.
BeatUnity shall not be obliged to provide a detailed justification for moderation decisions where doing so would compromise the safety, integrity, legal compliance or legitimate interests of the Platform or its Users.
6. Opportunities, Bookings and Collaborations
6.1 Platform Facilitation
The Platform may enable Users to discover, publish, apply for, promote, discuss or facilitate opportunities, bookings, collaborations, performances, coaching services and other professional activities. BeatUnity acts solely as a technology provider and communication platform.
6.2 No Participation in Agreements
BeatUnity is not a party to any agreement, booking, engagement, performance agreement, coaching agreement or other arrangement concluded between Users. Any such agreement is entered into solely between the relevant parties.
6.3 User Responsibility
Users remain solely responsible for:
- evaluating opportunities;
- conducting due diligence;
- negotiating terms;
- verifying counterparties;
- entering into agreements;
- performing contractual obligations;
- managing payments;
- resolving disputes.
6.4 Selection Decisions
Users acknowledge that opportunities, bookings and collaborations may be awarded based on criteria determined solely by Organizers, Coaches, venues, promoters, agencies, clients or other third parties. Such criteria may include:
- artistic suitability;
- experience;
- professional conduct;
- availability;
- technical skills;
- audience fit;
- commercial considerations;
- creative direction.
Users shall respect all selection decisions.
6.5 No Obligation to Provide Opportunities
BeatUnity is under no obligation to provide opportunities, bookings, collaborations, visibility or commercial exposure to any User.
6.6 No Guarantee of Results
BeatUnity does not guarantee that any User will obtain:
- bookings;
- paid performances;
- collaborations;
- coaching opportunities;
- income;
- audience growth;
- commercial success.
6.7 Publication of Opportunities
BeatUnity may, from time to time, provide recommendations, introductions, profile suggestions or non-binding advice regarding potential Artists, DJs, Coaches or other Users. Any recommendation or advice provided by BeatUnity is purely advisory in nature. The final selection and contracting decision remains solely the responsibility of the Organizer, venue, promoter, client or other decision maker.
Recommendations may be based on a variety of factors, including but not limited to profile completeness, professionalism, responsiveness, experience, technical ability, artistic suitability, availability, community participation and information made available through the Platform.
6.8 No Entitlement to Recommendations
BeatUnity is under no obligation to recommend, promote, feature, introduce or provide visibility to any User. Recommendations, introductions, featured placements and promotional support remain entirely at BeatUnity's discretion and do not create any entitlement or expectation on the part of any User.
7. Professional Status, Invoicing and Legal Compliance
7.1 Independent Status
Users acknowledge that they act exclusively as independent parties. Nothing contained in the Platform shall create:
- an employment relationship;
- an agency relationship;
- a partnership;
- a joint venture;
- a representative relationship;
between BeatUnity and any User.
7.2 Professional Responsibility
Users are solely responsible for ensuring that they are legally entitled to perform services, accept bookings and receive compensation.
7.3 Tax and Social Security Compliance
Users remain solely responsible for:
- tax obligations;
- VAT obligations;
- social security obligations;
- labour law obligations;
- invoicing obligations;
- permit and registration requirements.
7.4 Accepted Professional Structures
Users may operate through:
- a sole proprietorship;
- a company;
- a payroll provider;
- a social bureau for artists;
- an employer of record;
- any other legally recognised structure.
BeatUnity does not verify, supervise or assume responsibility for a User's professional, fiscal or legal status.
7.5 Voluntary Participation
Participation in the Platform and acceptance of opportunities is entirely voluntary. BeatUnity does not compel, pressure, direct or require Users to accept any booking, performance, collaboration or opportunity. Users remain solely responsible for evaluating whether an opportunity is suitable for their personal, professional, legal and financial circumstances.
7.6 Verification Disclaimer
BeatUnity does not verify and does not guarantee the identity, qualifications, experience, licences, insurance coverage, legal status, professional claims or suitability of any User. Users remain solely responsible for conducting their own due diligence before entering into any agreement.
8. Music Rights, Licensing and Insurance
8.1 Lawful Use of Music
Users represent and warrant that all music, recordings, tracks, samples, edits, remixes, videos and other materials used, uploaded, distributed, shared or performed by them have been obtained lawfully.
8.2 Rights and Permissions
Users are solely responsible for obtaining and maintaining all necessary:
- licences;
- permissions;
- authorisations;
- registrations;
- rights clearances.
required under applicable laws and regulations.
8.3 Copyright Compliance
Users shall comply with all copyright, neighbouring rights, intellectual property and licensing obligations applicable to their activities. BeatUnity accepts no liability for infringements committed by Users.
8.4 Insurance
Users acknowledge that certain activities, bookings, performances, events or professional services may require insurance coverage.
8.5 User Insurance Responsibility
Where applicable, Users remain solely responsible for obtaining and maintaining any insurance required by:
- applicable law;
- organisers;
- venues;
- clients;
- professional standards.
Such insurance may include:
- public liability insurance;
- professional liability insurance;
- equipment insurance;
- accident insurance;
- event related insurance.
BeatUnity does not provide insurance coverage for Users.
8.6 Compliance With Local Laws
Users remain solely responsible for complying with all laws, regulations, permits, licences, registrations and professional requirements applicable to their activities in the jurisdictions in which they operate.
9. User Content
9.1 Ownership of Content
Users retain ownership of the Content they upload to the Platform.
9.2 Licence Granted to BeatUnity
By uploading Content, the User grants BeatUnity a worldwide, non exclusive, royalty free licence to host, store, reproduce, display, distribute and make available such Content solely for the operation, promotion, improvement and administration of the Platform.
9.3 User Warranties
Users warrant that:
- they own the Content or possess all necessary rights;
- the Content does not infringe third party rights;
- the Content is accurate and lawful.
9.4 Prohibited Content
Users shall not upload Content that:
- is unlawful;
- is fraudulent;
- infringes intellectual property rights;
- contains malware;
- contains misleading information;
- promotes illegal activities;
- violates privacy rights.
9.5 Content Removal
BeatUnity reserves the right to remove, restrict, disable or refuse Content where reasonably necessary to protect the Platform, Users, legal compliance or legitimate business interests.
9.6 Profile Accuracy
Users are solely responsible for ensuring that information contained in their profile, portfolio, press kit, biography and other published materials is accurate, complete and not misleading.
10. Intellectual Property
10.1 Platform Ownership
All intellectual property rights relating to the Platform, including software, databases, trademarks, logos, branding, designs, texts, graphics and functionalities remain the exclusive property of BeatUnity or its licensors.
10.2 Restrictions
Users may not:
- copy;
- reproduce;
- distribute;
- modify;
- reverse engineer;
- commercially exploit;
any part of the Platform without prior written permission.
10.3 Feedback
Any suggestions, recommendations or feedback submitted by Users may be used by BeatUnity without restriction and without compensation.
11. Subscriptions, Payments and Billing
11.1 Paid Services
Certain features of the Platform may require payment of subscription fees, service fees or other charges. Applicable pricing shall be displayed on the Platform or communicated before purchase.
11.2 Subscription Renewals
Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until cancelled by the User.
11.3 Subscription Cancellation
Users may cancel their subscription at any time through their account dashboard. Cancellation shall prevent future renewals but shall not entitle the User to a refund for the current billing period, except where required by applicable law.
11.4 Price Changes
BeatUnity reserves the right to modify subscription pricing. Any material price change shall be communicated in advance and shall apply only to future billing cycles.
11.5 Payment Providers
Payments may be processed through third party payment providers. BeatUnity shall not be liable for interruptions, errors or failures caused by such providers.
11.6 Non Payment
BeatUnity reserves the right to suspend or restrict access to paid Services where payment is overdue, disputed, reversed or otherwise unsuccessful.
11.7 Subscription Benefits
Subscriptions may include access to additional Platform features and community benefits, including but not limited to:
- access to exclusive community groups;
- access to Tribe events;
- educational content;
- networking features;
- profile enhancement features;
- promotional features;
- complimentary event tickets where available;
- partner discounts;
- discounts on equipment and services offered by third parties;
- community related benefits made available from time to time.
The availability, scope and nature of Subscription benefits may change, be modified or be discontinued at any time.
Access to opportunities published on the Platform is generally independent of Subscription status unless explicitly stated otherwise for a specific feature or service.
Subscriptions are purchased exclusively for access to Platform features, visibility tools and community benefits and shall not be interpreted as payment for bookings, employment, assignments, recommendations or professional opportunities.
BeatUnity does not guarantee that a Subscription will result in increased visibility, recommendations, bookings, performances, collaborations, coaching opportunities, revenue or commercial success.
12. Account Suspension and Termination
12.1 Suspension Rights
BeatUnity reserves the right to suspend, restrict or terminate access to the Platform where reasonably necessary to:
- protect Users;
- protect legal compliance;
- protect Platform integrity;
- investigate violations;
- prevent abuse;
- protect the reputation and legitimate interests of BeatUnity.
12.2 Immediate Suspension
BeatUnity may immediately suspend or terminate an account in cases involving:
- unlawful conduct;
- fraud;
- serious misconduct;
- intellectual property infringement;
- security threats;
- repeated violations of these Terms.
12.3 Effect of Termination
Termination of an account shall not affect obligations, liabilities or rights that arose before termination.
12.4 No Compensation
Except where prohibited by law, account suspension or termination shall not give rise to compensation, damages or reimbursement.
13. Disclaimer of Warranties
13.1 Platform Availability
The Platform is provided on an "as available" and "as is" basis. BeatUnity does not warrant that:
- the Platform will be uninterrupted;
- the Platform will be error free;
- defects will always be corrected;
- services will always remain available.
13.2 No Professional Guarantee
BeatUnity does not guarantee the accuracy, quality, reliability, suitability or completeness of User generated content, profiles, opportunities or communications.
13.3 Third Party Conduct
BeatUnity is not responsible for the conduct, actions, omissions or representations of Users or third parties.
14. Limitation of Liability
14.1 General Limitation
To the maximum extent permitted by applicable law, BeatUnity shall not be liable for:
- loss of income;
- loss of profits;
- loss of business;
- loss of contracts;
- loss of opportunities;
- reputational damage;
- indirect damages;
- consequential damages;
- special damages;
- punitive damages.
14.2 User Interactions
BeatUnity shall not be liable for disputes, disagreements, failed collaborations, cancelled bookings, payment disputes or other issues arising between Users.
14.2.1 No Liability for Selection Decisions
BeatUnity shall not be liable for any selection, rejection, recommendation, non recommendation, booking decision or opportunity related decision made by an Organizer, venue, promoter, client, Coach or other User.
BeatUnity shall not be liable for the performance, conduct, acts, omissions, quality of services, legal compliance or contractual obligations of any User.
14.3 Content Liability
BeatUnity shall not be liable for Content uploaded, shared or published by Users.
14.4 Liability Cap
To the extent liability cannot legally be excluded, the total aggregate liability of BeatUnity shall not exceed the total amount paid by the User to BeatUnity during the twelve (12) months preceding the event giving rise to the claim.
14.5 Mandatory Rights
Nothing in these Terms shall exclude liability that cannot legally be excluded under applicable law.
15. Indemnification
15.1 User Indemnification
Users agree to indemnify, defend and hold harmless BeatUnity, its directors, officers, owners, employees, contractors, moderators, affiliates and partners against any claims, actions, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising out of:
- their use of the Platform;
- their Content;
- their conduct;
- their agreements with third parties;
- their violation of these Terms;
- their violation of applicable laws.
16. Privacy and Data Protection
16.1 Privacy Policy
The processing of personal data is governed by the BeatUnity Privacy Policy .
16.2 Compliance
BeatUnity processes personal data in accordance with applicable privacy and data protection laws, including the General Data Protection Regulation (EU) 2016/679 ("GDPR").
16.3 User Responsibilities
Users remain responsible for ensuring that any personal data they upload, share or process through the Platform is collected and used lawfully.
17. Force Majeure
17.1 Force Majeure Events
BeatUnity shall not be liable for delays, interruptions or failures resulting from circumstances beyond its reasonable control, including but not limited to:
- natural disasters;
- pandemics;
- governmental actions;
- war;
- terrorism;
- cyber attacks;
- internet outages;
- power failures;
- labour disputes;
- failures of third party providers.
17.2 Suspension of Obligations
During a force majeure event, BeatUnity may suspend affected Services without liability.
18. Digital Services Act Compliance
18.1 Illegal Content
Users may report content that they reasonably believe to be illegal or in violation of these Terms.
18.2 Review Process
BeatUnity may review, investigate, restrict or remove reported Content where reasonably necessary.
18.3 Cooperation With Authorities
BeatUnity reserves the right to cooperate with competent authorities where required by law.
19. Governing Law and Jurisdiction
19.1 Governing Law
These Terms shall be governed exclusively by Belgian law.
19.2 Competent Courts
Any dispute arising from or relating to these Terms or the use of the Platform shall be submitted to the competent courts of the judicial district in which BeatUnity has its registered office, except where mandatory legal provisions provide otherwise.
20. Final Provisions
20.1 Entire Agreement
These Terms constitute the entire agreement between BeatUnity and the User regarding use of the Platform.
20.2 No Waiver
Failure by BeatUnity to enforce any provision shall not constitute a waiver of its rights.
20.3 Transfer of Rights
BeatUnity may transfer or assign its rights and obligations under these Terms as part of a merger, acquisition, restructuring or sale of assets.
20.4 Survival
Any provision which by its nature should survive termination shall remain in force after termination of these Terms.
